1. Agreement to Terms

By accessing or using SCORM Converter ("the Service"), operated by SCORM Converter ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

2. Description of Service

SCORM Converter is a web-based service that converts SCORM (Sharable Content Object Reference Model) packages into multiple formats including PDF, Microsoft Word (DOCX), Markdown, and other formats. The Service extracts content from SCORM packages and generates exports while preserving text, images, tables, and document structure.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Create an account by providing a valid email address and password
• Be at least 13 years of age (or the age of majority in your jurisdiction)
• Provide accurate, complete, and current information
• Maintain and update your account information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may delete your account at any time through your account settings or by contacting support.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service to:

• Convert SCORM packages that you own or have legal rights to use
• Create exports for personal, educational, or commercial purposes
• Download and use your generated export files

4.2 Prohibited Uses

You may NOT:

• Upload or convert SCORM packages containing illegal, harmful, or offensive content
• Convert content that infringes on intellectual property rights of others
• Use the Service to violate any applicable laws or regulations
• Attempt to reverse engineer, decompile, or hack the Service
• Use automated tools (bots, scrapers) to access the Service
• Overload or disrupt the Service infrastructure
• Share your account credentials with others
• Upload malware, viruses, or malicious code
• Use the Service to spam or distribute unwanted content

5. Intellectual Property Rights

5.1 Your Content

You retain all ownership rights to the SCORM packages you upload and the content within them. You grant us a limited license to process, store, and convert your files solely for the purpose of providing the Service.

5.2 Our Service

The Service, including all software, algorithms, designs, trademarks, and content (excluding user-uploaded content), is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our explicit written permission.

5.3 Responsibility for Content

You are solely responsible for ensuring you have the necessary rights and permissions to upload and convert any SCORM content using our Service. We do not verify ownership or rights to uploaded content and assume no liability for copyright or intellectual property violations.

6. Beta Service and Availability

6.1 Beta Status

The Service is currently offered as a beta product. During the beta period:

• The Service is provided free of charge
• Features may change without notice
• The Service may experience downtime or interruptions
• We may modify usage limits or restrictions
• We will provide advance notice before transitioning to paid plans

6.2 Service Availability

We strive to maintain high availability, but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or service interruptions.

7. Usage Limits and Restrictions

During the beta period, the following limits apply:

• Maximum 50 conversions per user per month
• Maximum file size of 500MB per SCORM package
• Files are retained for 30 days after conversion

We reserve the right to modify these limits at any time with or without notice. Excessive use that impacts Service performance may result in rate limiting or account suspension.

8. Payment and Pricing (Future)

While the Service is currently free during beta, we may introduce paid plans in the future. When paid plans are introduced:

• We will provide at least 60 days advance notice
• Beta users will receive special pricing and benefits
• A free tier will remain available for individual users
• Pricing will be clearly displayed before any charges apply

9. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information and uploaded files is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

• We do not sell or share your data with third parties for marketing
• All file transmissions are encrypted (HTTPS/TLS)
• Files are automatically deleted after 30 days
• You can delete your data at any time

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

While we strive for accurate conversions, we do not guarantee that:

• Converted files will be 100% identical to the original SCORM content
• All SCORM features will be preserved in exports
• The Service will meet your specific requirements
• The Service will be error-free or uninterrupted

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of your files or data
• Any errors or inaccuracies in converted files
• Any interruption or cessation of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless SCORM Converter and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including attorney's fees, arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your uploaded content or SCORM packages

12. Copyright and DMCA

We respect intellectual property rights. If you believe content on our Service infringes your copyright, please contact us at dmca@scormconverter.com with:

• Description of the copyrighted work claimed to be infringed
• Description of where the infringing material is located
• Your contact information
• A statement of good faith belief that use is not authorized
• A statement that the information is accurate and you are authorized to act
• Your physical or electronic signature

13. Third-Party Services

The Service uses third-party infrastructure providers (Supabase, Railway, Vercel) for hosting, storage, and processing. These providers have their own terms of service and privacy policies. We are not responsible for the practices or policies of third-party service providers.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where SCORM Converter is operated, without regard to conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely matches the intent of the original.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SCORM Converter regarding the Service and supersede all prior agreements and understandings.

17. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative.

18. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
